WEBSITE TERMS OF USE

1. Parties and Acceptance. These Website Terms of Use (the "Terms") govern access to and use of yaxys.tech and every page served from it (the "Site"). YAXYS LLC, a Texas limited liability company with its principal place of business at 603 Main Street, Suite 201, Garland, Texas 75040 ("YAXYS", "we", "us" or "our"), operates the Site. Each person or entity that accesses or uses the Site ("you") accepts these Terms. If you do not accept these Terms, you shall not use the Site.

2. Information Only; No Offer. The Site provides general information about YAXYS and its business. Nothing on the Site is an offer or a commitment to sell, lease, license or grant any right in fiber, conduit, hut space, power or any other asset. Nothing on the Site represents that any route exists, is planned or will be built. YAXYS grants rights in its network only by a written agreement signed by an authorized officer of YAXYS (a "Definitive Agreement"). A Definitive Agreement prevails over these Terms and over any content on the Site.

3. Illustrations and Figures. Maps, drawings, animations, route diagrams, cable and fiber counts, spacing figures and other depictions on the Site are illustrative, including without limitation every route, corridor, highway, incident, carrier and data center shown. They do not depict any actual route, customer, facility or event.

4. Permitted Use. You may view and print pages of the Site for your own evaluation of YAXYS. You shall not:

  1. (a) copy, modify, republish or distribute Site content for a commercial purpose without the written consent of YAXYS;
  2. (b) scrape, crawl or harvest the Site or its contact information by automated means, other than search-engine indexing that honors the Site's robots rules;
  3. (c) interfere with the operation or security of the Site; or
  4. (d) use the Site in violation of any law.

5. Intellectual Property. YAXYS or its licensors own the Site and its content, including without limitation its text, drawings, animations, icons, photographs, and the YAXYS name and logo. These Terms grant no license except the permission in Paragraph 4.

6. Communications. If you contact YAXYS by email or telephone, you shall not send confidential or proprietary business information unless a written confidentiality agreement signed by YAXYS covers it. Without that agreement, YAXYS has no duty to keep the business information you send confidential, and no fiduciary or contractual relationship arises from your communication. The Privacy Policy governs personal information, and this Paragraph does not limit it.

7. Third-Party Services and Links. The Site uses third-party services, including without limitation Cloudflare for hosting and security and Google Fonts for typefaces, and may link to third-party websites. YAXYS is not responsible for the content, availability or practices of any third party.

8. Disclaimer of Warranties. THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, YAXYS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. YAXYS DOES NOT WARRANT THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED OR FREE OF ERRORS OR HARMFUL COMPONENTS.

9. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, YAXYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE OR DATA, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS. THE TOTAL LIABILITY OF YAXYS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification. You shall defend, indemnify and hold harmless YAXYS and its members, managers, officers and employees from and against every claim, loss, liability and expense, including without limitation reasonable attorneys' fees, arising from your material breach of these Terms or your misuse of the Site. This obligation does not extend to any claim to the extent it arises from the negligence or willful misconduct of YAXYS.

11. Force Majeure. YAXYS shall not be liable for any unavailability or failure of the Site caused by an event outside its reasonable control, including without limitation a hosting or network outage, a cyberattack, a power failure, a fiber cut, severe weather or an act of government.

12. Changes and Termination. YAXYS may change these Terms by posting a revised version on the Site with a new Effective Date; the revised Terms govern use of the Site after posting. YAXYS may suspend or end access to the Site at any time. Paragraphs 5, 8, 9, 10, 13, 14 and 15 survive the end of your use of the Site.

13. Governing Law and Venue. These Terms, and the application or interpretation of them, are governed exclusively by their terms and by the laws of the State of Texas without regard to its conflict of laws provisions. Venue for any action arising out of or relating to these Terms or the Site shall be exclusively in the state or federal courts in Dallas County, Texas. You irrevocably and unconditionally waive any objection to venue in those courts and agree not to claim that any action brought there was brought in an inconvenient forum.

14. Waiver of Jury Trial. YOU AND YAXYS IRREVOCABLY WAIVE ANY AND ALL RIGHTS TO A TRIAL BY JURY IN ANY ACTION, SUIT OR OTHER PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE.

15. General Provisions.

  1. (a) Severability. If a court holds any provision of these Terms invalid or unenforceable, the remaining provisions remain in full force.
  2. (b) Anti-Waiver. A failure by YAXYS to enforce a provision once does not waive its right to enforce that provision or any other provision later.
  3. (c) Successors and Assigns. YAXYS may assign these Terms, including without limitation in a merger or a sale of its assets. You may not assign these Terms. These Terms bind and benefit each party's successors and permitted assigns.
  4. (d) Cumulative Remedies. Each remedy of YAXYS under these Terms is in addition to every other remedy available at law or in equity.
  5. (e) Entire Agreement. These Terms and the Privacy Policy at yaxys.tech/privacy, which is incorporated by reference, are the entire agreement between you and YAXYS about the Site and supersede every prior communication about the Site. They do not amend or supersede any Definitive Agreement.

16. Notices. You shall send every notice under these Terms by email to jwood@yaxys.tech. YAXYS may give notice to you by posting it on the Site or by email to the address from which you contacted YAXYS. An email notice is received when it is sent.
